1. Acceptance of TermsThese Terms of Service (ToS) apply to you and TechClass Ltd (hereinafter “TechClass”) regarding your use of TechClass’ Services. TechClass reserves the right to update these ToS at any time without notice to you. By accessing and using TechClass services, you accept and agree to be bound by the terms and provisions in these ToS. In addition, when using this website’s particular services, you shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. The services, including any updates, enhancements, and new features, are subject to the ToS, as well as all guidelines or rules are hereby incorporated by reference into the ToS. Users should periodically review the ToS, as changes may occur without notice.2. Definitions“Portal” means the TechClass Learning Environment, where the services can be accessed at https://app.techclass.com;“Company” means TechClass Ltd registered in Finland with business ID 2837636-8;“Services” means the provision of online trainings by TechClass consisting of online modules accessed via the Portal;“Universities” means the educational institutions providing the online trainings;“Terms” means these terms and conditions for the supply of the services; and“User” means a person who is registered and enrolled through the Portal and shall include any of these four classes of people: leaners, instructors, organizations staff, and admins.3. ObjectivesTechClass is an online learning platform, filled with high-quality online educational resources to help you to develop essential and certified workplace skills. Our main goal is to provide updated material in a practical and clear way. TechClass’ unique and powerful learning environment enables instructors to freely deliver their training materials to the learners.4. The Services4.1 In order to access the services, you are required to register an account through the Portal.4.2 All enrolments are made on a first-come-first-served basis. TechClass reserves the right to refuse bookings at its sole discretion.4.3 These Terms of Service constitute the entire agreement between the parties. The User acknowledges that he or she has not relied on any statement, promise, representation, assurance, or warranty made by or given on behalf of the Portal, which is not set out in these ToS.4.4 The Services are provided “as is” without any representation or warranty of any kind whether express or implied, including but not limited to, the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, and accuracy.4.5 TechClass does not warrant that the Portal will be uninterrupted, error-free, or free from viruses.4.6 As part of the registration and enrolment process, or as part of your continued use of the Service, you may be required to provide personal information about yourself, such as contact detail like below:
4.7 You warrant that any information you give on the Portal in the course of completing the registration process will always be voluntarily given and will be accurate, correct, and up to date.
4.8 Once you have completed the registration process on our Portal you will be a registered User of the TechClass Portal and agree to be bound by these Terms.
4.9 You may not use the Services and may not accept the present Terms if: (a) you are not of legal age to form a binding contract with the Company, or (b) you are a person barred from receiving the Services under the laws of any country including the country in which you are resident or from which you use the Services. If a user violates the terms of service or misuses the platform, TechClass reserves the right to take appropriate action, including but not limited to, suspension or termination of the user's account.
5. Charges and Payments
5.1 In consideration of the Services described, the User agrees to pay the charges, when applicable, to the Company at the time of booking.
5.2 All amounts payable by the User under the Agreement are inclusive of Value Added Tax.
5.3 If the User fails to make any due payment to the Company under these Terms, this will be a breach of contract by the User, entitling the Company to terminate the Services. The Company shall be entitled to retain all charges and payments already paid by the User. Any unpaid charges and payments shall become immediately payable by the User to the Company. This is without prejudice to the Company’s rights and other remedies under these Terms. In case of a payment dispute, the user should contact TechClass directly to resolve the issue.
6. Cancellations and Modifications
6.1 TechClass will make sure to use all commercially reasonable efforts to adhere to the Services described in clause 4 but it reserves the right to amend or cancel any part of the Services at any time. This includes, but is not limited to, changes of instructors, contents of training materials, and program of the modules, including schedules.
6.2 In the event of Services amendments, after confirmation of the booking (other than cancellation which is dealt with under clause 7.3), TechClass will make sure to use all commercially reasonable efforts (subject to the Company’s right to amend the charges payable) to provide reasonable alternative Services to the User which shall be the User‘s sole remedy.
6.3 On the occurrence of the Services or part of the Services being canceled after confirmation of the booking, the Company may in its discretion: (a) offer the User a complimentary transfer to an alternative equivalent module (subject to availability); or (b) refund any charges paid at the request of the User.
6.4 Save for as set out in clause 5, TechClass shall not be responsible for any other costs incurred by the User as a result of cancellation or amendment of the Services or any part of the Services.
6.5 The Company shall not refund the charges to the User if the User fails to access and/or complete a module within any stipulated time period. If a user wants to cancel their account or request a refund, they should contact TechClass directly to discuss the options available.
7. Term and Termination
7.1 The Services shall commence on the date of enrolment of the User on the Portal and shall continue till the subsistence of enrolment of the User with Portal.
7.2 Without limiting any other remedies available to TechClass, if TechClass believes that you are in breach of these ToS, TechClass reserves the right to take any of the following actions, whether individually or in combination, and either with or without notice to you: (i) delete, suspend and/or modify your account or parts of your account; (ii) limit, suspend and/or terminate your access to the Services.
7.3 On termination of the Services for any reason, all licenses granted to the User under these terms shall immediately terminate.
7.4 Any provision of these Terms, which is expressly or implicitly intended to come into or remain in force on or after termination, will remain in full force and effect despite the expiry or termination of these Services. After termination of a user's account, TechClass will handle the user's data in accordance with its privacy policy and applicable laws.
8. Accessibility
8.1 The Portal is accessible online at any time and from anywhere with any device, which has access to a web browser and internet.
8.2 It is the User‘s responsibility to ensure compatibility of software. Full settlement of the charges will be due in the event of failed access due to incompatible software and/or devices.
9. User, Account, Password, and Security
If any of the Services requires you to open an account, you must complete the registration process by providing us with current, complete, and accurate information as prompted by the applicable registration form. You will also choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account as well as for any and all activities that occur under your account. You shall notify TechClass without undue delay of any unauthorized use of your account or any other breach of security. TechClass will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by TechClass or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the affected user. If a user's account is hacked or they lose their password, they should contact TechClass immediately for assistance.
10. Intellectual Property Rights
10. 1 All Intellectual Property Rights in or arising out of or in connection with the Services shall be owned by TechClass or its licensors or partners. Except as expressly stated herein, this Agreement does not grant the User any rights to, or in, patents, copyright, database rights, trade secrets, trade names, trademarks (whether registered or unregistered), or any other Intellectual Property Rights in respect of the Services.
10.2 Without the Company’s prior written consent, you are not authorized to sell, distribute, reproduce, modify, display, publicly perform, prepare derivative works based on, repost, or otherwise use any of our content in any way for any purpose other than that stated in these Terms.
10.3 No provision in these Terms shall be construed as an assignment or waiver of any Intellectual Property rights held by the Company or its licensors or partners.
11. Privacy and Protection of Personal Information
User details gathered by the Portal are subject to the privacy policy available at Privacy Policy page. TechClass is committed to protecting user data and takes appropriate measures to ensure its security.
12. Personal and Non-Commercial Use Limitation
Unless otherwise specified, the Services are for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services.
13. No Unlawful Use
You will not use the Services for any purpose that is unlawful or prohibited by these Terms. You may not use the Services in any manner that could damage, disable, overburden, or impair any TechClass’ server, or the network(s) connected to any TechClass’ server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems, or networks connected to any TechClass server or to any of the Services, through hacking, password mining, or any other illegal means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.
14. Limitation of Liability
14.1 The Company assumes no responsibility for any loss incurred while using material or information gathered via modules. The copyright of all training materials and other documentation belongs to the Company and the Company shall not be held liable for any infringements as a result of plagiarism, libel, slander, misuse of material, or any other breaches of third-party rights.
14.2 TechClass, its officers, directors, owners, agents, and employees shall in no way be liable to you or anyone else for any loss or injury resulting from the unlawful use of any information relating to any Services that appear on this website.
14.3 By using the Portal, you acknowledge that you are solely responsible for ensuring that you do not use the Services offered on this website in such a way that you will be at risk of personal or psychological harm or otherwise putting at risk the fundamental rights and freedom of other users of this Portal. If a user suffers damages as a result of using the platform, they should contact TechClass directly to discuss the issue.
15. Indemnification
15.1 You agree to hold harmless or to indemnify TechClass and TechClass respective subsidiaries, affiliates, officers, agents, and employees from and against any third-party claims, actions, or demands arising out of, resulting from, or in any way related to your use of the Portal, or by any breach by you of these ToS, including any liability or expense arising from any and all claims, losses, damages (actual and consequential), suits, judgments, litigation costs, and attorneys’ fees, of every kind and nature.
16. Waiver and Severability
16.1 Any failure by TechClass to exercise or enforce any of its rights under these ToS does not waive its right to enforce such rights. Any waiver of such rights shall only be effective if it is in writing and signed by an authorized representative of TechClass. If any provision of these ToS is held to be invalid or unenforceable, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these ToS will remain in full force and effect. TechClass’ failure to enforce any right or provision of these ToS will not be deemed a waiver of such right or provision.
17. Force Majeure
TechClass will not be liable for any delay, interruption, or failure in the provisioning of any of the services available through this website is caused by natural disasters, war (declared or undeclared), hostilities, rebellion, insurrections, acts of terrorism, actual or threatened, any act of any government, any instrumentality or agency thereof, or any act or cause which is reasonably beyond the control of TechClass.
18. Governing Law
You agree that all claims and disputes between TechClass and you that arise out of or relate in any way to these Terms of Service and your use of this website will be governed by the laws of Finland, without regard to the principles governing conflicts of any jurisdiction. You agree that you will bring any claims and/or disputes that you submit to the exclusive jurisdiction of the district court of Helsinki, Finland, as the first instance.
